These Terms of Service ("Terms") govern your access to and use of the Versya website (versya.io), platform, and related services (collectively, the "Service") provided by Versya ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 16 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Versya is a multi-channel behavioral automation platform for SaaS companies. The Service includes behavioral tracking, user segmentation, multi-step automation funnels, AI-powered agent teams, omnichannel messaging (email, SMS, WhatsApp, Telegram, web-push, in-app, webchat, and additional channels as they become available), and related features.
The Service is currently in early access. Features, availability, and pricing may change without prior notice during this period.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must provide accurate and complete information during registration.
- You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to:
- Send unsolicited messages (spam) or violate anti-spam laws (CAN-SPAM, GDPR, LGPD, etc.)
- Harass, threaten, or abuse any person or entity
- Distribute malware, viruses, or other harmful content
- Violate any applicable local, state, national, or international law
- Infringe on intellectual property rights of any third party
- Attempt to gain unauthorized access to any part of the Service
- Use the Service for any fraudulent, deceptive, or illegal activity
- Circumvent or manipulate rate limits, frequency caps, or other safeguards
- Send messages to contacts who have not consented to receive them
5. Messaging Compliance
You are solely responsible for ensuring compliance with all applicable messaging regulations in the jurisdictions where you operate, including but not limited to:
- CAN-SPAM Act (United States) — for commercial email messages
- TCPA (United States) — for SMS and voice communications
- GDPR (European Union) — for processing personal data of EU residents
- LGPD (Brazil) — for processing personal data of Brazilian residents
- WhatsApp Business Policy — for messages sent via WhatsApp channels
- Carrier guidelines — for SMS messages, including opt-in requirements and content restrictions
Versya provides tools (frequency caps, quiet hours, opt-out management) to help you comply, but compliance is ultimately your responsibility.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data. We process your data solely to provide the Service and as described in our Privacy Policy.
If you use the Service to process personal data of your end users, you are the data controller and Versya acts as a data processor on your behalf. You must ensure you have appropriate legal basis and consent for collecting and processing such data.
7. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by Versya and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.
You retain all rights to the content you upload, create, or transmit through the Service.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime.
9. Limitation of Liability
To the maximum extent permitted by law, Versya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Versya in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Versya, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us at versya@versya.io.
Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days after termination, after which it may be deleted.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation first, and if necessary, through binding arbitration.
